Please read these terms carefully before using our logistics integration services.
Adkiduniya.com Logistics Systems provides high-capacity automated material handling system integration, heavy-duty conveyor network design, and programmable logic controller deployment for industrial warehouses. Our services include optical sortation sensor synchronization and distribution flow optimization for multi-jurisdictional fulfillment hubs.
All services are delivered based on a mutually agreed statement of work that defines specific deliverables, timelines, and performance metrics. We do not guarantee specific throughput increases or cost reductions, as results depend on existing infrastructure and operational conditions.
You agree to provide accurate and complete information about your facility layout, existing equipment, power specifications, and operational requirements. You are responsible for maintaining a safe working environment during installation and commissioning phases.
You must ensure that your personnel receive appropriate training on any systems we install. We provide standard training sessions as part of the deployment; additional training may be purchased separately.
All software, firmware, control logic, configuration files, and documentation developed by Adkiduniya.com remain our intellectual property. We grant you a perpetual, non-exclusive license to use the delivered systems for their intended purpose at your facility.
You may not reverse engineer, decompile, or modify our proprietary control algorithms without written consent. Customizations developed specifically for your project under a paid work order may be jointly owned as specified in your agreement.
Our liability for any claim arising from these terms or our services is limited to the total fees paid by you for the specific project giving rise to the claim. We are not liable for consequential damages, lost profits, or business interruption, even if advised of the possibility.
We do not warrant uninterrupted or error-free operation of any system. Our systems are designed to industry standards, but mechanical and electronic components may fail. We recommend maintaining spare parts and backup procedures as outlined in your maintenance plan.
Payment terms are specified in your project agreement. Standard terms require a 30% deposit upon signing, 40% upon delivery of major components, and 30% upon successful commissioning. All prices are in Indian Rupees unless otherwise stated.
You may cancel a project before installation begins, subject to a cancellation fee covering work completed and non-cancelable supplier commitments. After installation begins, cancellation terms are governed by your specific agreement.
Deposits are refundable only if we fail to commence work within 60 days of agreement signing, unless delays are caused by your failure to provide required information or site access.
Either party may terminate these terms with 30 days written notice. Upon termination, you must pay for all services rendered and goods delivered up to the termination date. We will provide reasonable assistance to transition any installed systems to your control.
We may immediately terminate if you breach any material term and fail to cure within 15 days of written notice. In case of termination for cause, no refunds will be provided.
We may update these terms from time to time. Material changes will be communicated via email to the address you provide. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
If you do not agree with any change, you may terminate your agreement without penalty within 30 days of receiving notice of the change.
These terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes will be settled by arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996.
